RecipeBridge's recipe search results are indexed in an automated manner and RecipeBridge does not screen the recipes. RecipeBridge assumes no responsibility for the content of any recipe listing or website that is either included in RecipeBridge's search results or linked to by RecipeBridge.com.

Ownership and Rights to Use Materials
RecipeBridge does not claim ownership of information, data, text or other materials submitted by third parties (collectively, "Materials"). However, by posting Materials to any area of the RecipeBridge website, you grant RecipeBridge and its designees a worldwide, royalty-free, non-exclusive perpetual, irrevocable and fully sub-licensable license to use, distribute, reproduce, modify, adapt, publish, translate, publicly perform and publicly display such Materials (in whole or in part) and to incorporate such Materials into other works in any format or medium now known or later developed. We shall not be liable for any use or disclosure of any Materials.

Registration
Some areas of the RecipeBridge service require you to register as a member. If you register to become a member, you agree to (a) provide true, accurate, current and complete information about yourself as prompted by our registration form (including your email address) and (b) will be responsible for the confidentiality and use of your username and password and agree not to transfer or resell your use of or access to the Site to any third party.

Change In Service and Terms
RecipeBridge may modify or terminate the RecipeBridge Services from time to time, for any reason, and without notice. RecipeBridge reserves the right to modify these Terms of Service from time to time without notice.

RecipeBridge disclaims any and all responsibility or liability for the accuracy, content, completeness, legality, reliability, or operability or availability of information or material displayed in the RecipeBridge results or posted on the RecipeBridge website by third parties. RecipeBridge disclaims any responsibility for the deletion, failure to store, mis-delivery, or untimely delivery of any information or material. RecipeBridge disclaims any responsibility for any harm resulting from downloading or accessing any information or material on the RecipeBridge site or on other sites on the Internet accessed through RecipeBridge.

ARISING FROM ANY CLAIM RELATING TO THIS AGREEMENT OR THE SUBJECT MATTER HEREOF SUCH LIMITATION OF LIABILITY SHALL APPLY TO PREVENT RECOVERY OF DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, AND PUNITIVE DAMAGES WHETHER SUCH CLAIM IS BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, (EVEN IF RECIPEBRIDGE OR ITS LICENSORS HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES). SUCH LIMITATION OF LIABILITY SHALL APPLY WHETHER THE DAMAGES ARISE FROM USE OR MISUSE OF AND RELIANCE ON THE RECIPEBRIDGE SERVICES, FROM RELIANCE OR DAMAGE CAUSED BY INFORMATION POSTED ON THE RECIPEBRIDGE SITE, FROM INABILITY TO USE THE RECIPEBRIDGE SERVICES, OR FROM THE INTERRUPTION, SUSPENSION, OR TERMINATION OF THE RECIPEBRIDGE SERVICES (INCLUDING SUCH DAMAGES INCURRED BY THIRD PARTIES). THIS LIMITATION SHALL ALSO APPLY WITH RESPECT TO DAMAGES INCURRED BY REASON OF OTHER SERVICES OR GOODS RECEIVED THROUGH OR ADVERTISED ON THE RECIPEBRIDGE SERVICES OR RECEIVED THROUGH ANY LINKS PROVIDED IN THE RECIPEBRIDGE SERVICES, AS WELL AS BY REASON OF ANY INFORMATION OR ADVICE RECEIVED THROUGH OR ADVERTISED ON THE RECIPEBRIDGE SERVICES OR RECEIVED THROUGH ANY LINKS PROVIDED IN THE RECIPEBRIDGE SERVICES. THIS LIMITATION SHALL ALSO APPLY, WITHOUT LIMITATION, TO THE COSTS OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, LOST PROFITS, OR LOST DATA. SUCH LIMITATION SHALL FURTHER APPLY WITH RESPECT TO THE PERFORMANCE OR NON-PERFORMANCE OF THE RECIPEBRIDGE SERVICES OR ANY INFORMATION OR MERCHANDISE THAT APPEARS ON, OR IS LINKED OR RELATED IN ANY WAY TO, THE RECIPEBRIDGE SERVICES. SUCH LIMITATION SHALL APPLY NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY AND TO THE FULLEST EXTENT PERMITTED BY LAW.

Without limiting the foregoing, under no circumstances shall RecipeBridge or its licensors be held liable for any delay or failure in performance resulting directly or indirectly from acts of nature, forces, or causes beyond its reasonable control, including, without limitation, Internet failures, computer equipment failures, telecommunication equipment failures, other equipment failures, electrical power failures, strikes, labor disputes, riots, insurrections, civil disturbances, shortages of labor or materials, fires, floods, storms, explosions, acts of God, war, governmental actions, orders of domestic or foreign courts or tribunals, non-performance of third parties, or loss of or fluctuations in heat, light, or air conditioning.

Claims of Copyright Infringement
The Digital Millennium Copyright Act of 1998 (the "DMCA") provides recourse for copyright owners who believe that material appearing on the Internet infringes their rights under U.S. copyright law. If you believe in good faith that materials hosted by RecipeBridge infringe your copyright, you (or your agent) may send us a notice requesting that the material be removed, or access to it blocked. The notice must include the following information: (a) a physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed; (b) identification of the copyrighted work claimed to have been infringed (or if multiple copyrighted works located on the site are covered by a single notification, a representative list of such works); (c) identification of the material that is claimed to be infringing or the subject of infringing activity, and information reasonably sufficient to allow RecipeBridge to locate the material on the site; (d) the name, address, telephone number, and email address (if available) of the complaining party; (e) a statement that the complaining party has a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and (f) a statement that the information in the notification is accurate, and under penalty of perjury, that the complaining party is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed. Miscellaneous
These Terms of Service will be governed by and construed in accordance with the laws of the State of Wisconsin, without giving effect to its conflict of laws provisions or your actual state or country of residence. If for any reason a court of competent jurisdiction finds any provision or portion of the Terms of Service to be unenforceable, the remainder of the Terms of Service will continue in full force and effect.
These Terms of Service constitute the entire agreement between the parties with respect to the subject matter hereof and supersedes and replaces all prior or contemporaneous understandings or agreements, written or oral, regarding such subject matter. Any waiver of any provision of the Terms of Service will be effective only if in writing and signed by RecipeBridge.
